Agreement to Terms

These Terms & Conditions (“Terms”) govern your access to and use of the heyRosie service (“Service”), operated by heyRosie, Inc., a Delaware corporation with headquarters in New York, NY (“heyRosie,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you via the Service or by email. Continued use after changes become effective constitutes acceptance.

Description of the Service

heyRosie is an AI-powered memory preservation and reflection platform designed to help individuals and families capture, organize, and recall meaningful moments. The Service may include storage of photos, voice recordings, written memories, and AI-assisted tools for organization and recall.

Account Registration

To use certain features, you must create an account. You agree to provide accurate and complete information and to keep your account details up to date.

You are responsible for safeguarding your credentials and all activity that occurs under your account.

Accounts are intended for use by adults. Parents or guardians may store memories that include their children, but children may not independently create accounts.

Your Content

You retain full ownership of all content you upload, create, or store through the Service (“Your Content”).

By using the Service, you grant heyRosie a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you, in accordance with our Privacy Policy.

You represent that you have the rights necessary to upload Your Content and that it does not violate applicable laws or third-party rights.

Acceptable Use

You agree not to:

• Upload unlawful, abusive, or harmful content
• Impersonate others or misrepresent affiliations
• Attempt unauthorized access to the Service or other accounts
• Interfere with the Service’s operation or security
• Use the Service for unauthorized commercial purposes

AI-Assisted Features

The Service uses AI to assist with organizing, summarizing, and recalling memories.

AI outputs are assistive and informational only and may not be complete or error-free. The Service does not provide legal, medical, financial, or professional advice.

You remain responsible for how you use and interpret AI-generated outputs.

Privacy

Your privacy is foundational to heyRosie. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Subscriptions & Payments

Some features require a paid subscription. Fees are billed in advance and renew automatically unless canceled prior to the renewal date.

Subscription terms, pricing, and cancellation options will be disclosed at the time of purchase.

Termination & Data Deletion

You may terminate your account at any time through account settings.

We may suspend or terminate accounts for violations of these Terms or misuse of the Service.

Upon termination, you may export Your Content within 30 days, after which it will be permanently deleted, subject to legal retention requirements as described in our Privacy Policy.

Intellectual Property

The Service, excluding Your Content, including software, design, and branding, is owned by heyRosie and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYROSIE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HEYROSIE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in New York, New York, and you consent to their jurisdiction.
